CODE OF CONDUCT AND PROFESSIONAL COEXISTENCE POLICY

1. Purpose, Objective, and Scope

Purpose:
To ensure a safe, respectful, inclusive, and productive work environment for all parties involved in the provision of technological services by TEKTON LABS (“TEKTON”).

Objective:
To establish the ethical standards and professional behavior governing interactions between TEKTON personnel, its collaborators (“Tektonians”), and clients, including their staff, external consultants, other vendors, and guests (collectively, “Business Partners”).

Scope:
This policy is mandatory for all collaborators, executives, and third parties acting on behalf of the Parties during the term of the commercial relationship.

2. Coexistence Principles And Standards of Conduct

Both Parties commit to maintaining a relationship based on integrity and professionalism, under the following rules:

2.1. Mutual Respect and Inclusion (Zero Tolerance)

TEKTON maintains a zero-tolerance policy toward discrimination and harassment.

Any act, language, or offensive, derogatory behavior or jokes based on race, color, religion, gender, gender identity, sexual orientation, nationality, disability, or age are strictly prohibited.

2.2. Prevention of Sexual and Workplace Harassment

In compliance with local regulations (Law No. 27942 in Peru) and international standards (USA), the Parties reject any unwanted conduct of a sexual or sexist nature, as well as ongoing hostile behavior.

Protection: This protection extends to both virtual interactions (Zoom, Slack, Teams, email) and in-person interactions.

Right of Withdrawal: If a Tektonian reports inappropriate conduct by a representative of a Business Partner, TEKTON will activate protection protocols and reserves the right to remove the collaborator from the project or suspend the service until their safety is ensured.

2.3. Professional Communication and Well-being (Work-Life Balance)

Interactions must be constructive and problem-solving oriented, avoiding intimidating communications.

Working Hours: Communications must respect the working hours agreed upon in the SOW. Contact during weekends or evenings is discouraged, except in predefined critical emergencies.

Official Channels: To ensure traceability, privacy, and security, only corporate channels must be used (Email, project Slack/Teams, Jira). The use of personal messaging applications (e.g., WhatsApp) is discouraged.

2.4. Ethical Use of Tools and Data

The use of provided tools (AI, software, hardware) shall be strictly limited to service-related purposes, always respecting intellectual property and data security protocols.

3. Integrity And Business Ethics

3.1. Talent Relationship (Non-Solicitation)

Business Partners must respect TEKTON’s contractual relationship with its talent.
Any attempt to persuade, directly hire, or divert a Tektonian for purposes outside this agreement violates principles of commercial loyalty and existing contractual clauses.

3.2. Gifts and Gratuities

Neither Party shall offer or accept bribes, money, loans, or gifts of excessive value that could influence the objectivity of business or technical decisions related to the project.

4. Governance, Reporting, And Consequences  


4.1. Reporting and Complaint Mechanism

If either Party identifies a violation of this Code, it must be reported within no more than 48 hours. TEKTON guarantees absolute confidentiality and protection against retaliation for good-faith reports.

4.2. Investigation and Resolution

The Parties will cooperate in good faith in the investigation of any report.
TEKTON reserves the right to replace any resource that seriously breaches this policy in order to safeguard team integrity.

4.3. Key Risks and Contractual Resolution

Reputational and Legal Risk:
Non-compliance damages the image of both companies and will be addressed under the applicable laws of the corresponding jurisdiction (Peru / USA).

Contract Termination: Serious or repeated non-compliance with this Code by either Party shall be considered just cause for early termination of the contract without penalty to the affected Party.
